Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Nesh AI Technologies Private Limited ("Nesh AI", "Company", "we", "us", "our"), the maker of Wealth Compass. They govern your access to and use of the Wealth Compass website and the Wealth Compass applications on iOS, Android, and the web, including all related features, content, and services (together, the "Service").

By creating an account, requesting early access, or using the Service, you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Wealth Compass connects your family's bank accounts, cards, and investment portfolios into one read-only view; helps you understand the flow of money; surfaces potential savings and "drains"; computes financial-health indicators; and provides informational insights, including through an optional AI advisor. Connectivity to financial accounts is provided through trusted, regulated third-party data-connectivity providers.

The Service is currently offered in an early-access / beta form. Features may change, break, be interrupted, or be discontinued at any time without notice or liability. Early-access pricing (including free periods) is promotional and may change on notice.

2. Eligibility, accounts, and registration

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service.
You agree to provide accurate, current, and complete information when registering or requesting access, and to keep it updated.
You are responsible for maintaining the confidentiality of your credentials and devices, and for all activity that occurs under your account, whether or not authorized by you. Notify us promptly of any suspected unauthorized use.
We may accept, refuse, limit, suspend, or revoke access (including early access) at our sole discretion.

3. Family workspaces; your warranties about members

The Service is designed for households. If you add family members, connect their accounts, or configure what members can see, you represent and warrant that you have the legal authority and all necessary consents to do so, including for any data relating to minors. Configuring member permissions is your responsibility, and you, not the Company, are solely responsible for any dispute, claim, or harm arising between family members from data you add, share, or make visible within your workspace.

4. Read-only connectivity; third-party providers

Access to connected financial accounts is read-only and consent-based; the Service cannot move, spend, or transfer money. Connectivity, balances, transactions, and holdings data are supplied by third-party providers and financial institutions. We do not control and are not responsible for their availability, accuracy, completeness, timeliness, or security, and data shown in the Service may be delayed, incomplete, or wrong. Your use of third-party services is subject to their own terms and policies.

5. Not financial advice; no fiduciary duty

The Service, including all insights, scores, alerts, projections, recommendations, and AI Advisor outputs, is provided for general informational purposes only. It is not financial, investment, tax, accounting, or legal advice, and it is not a recommendation to buy, sell, or hold any security or financial product. Nesh AI is not a bank, broker-dealer, investment adviser, tax adviser, or fiduciary, and no advisory, fiduciary, or professional relationship is created by your use of the Service.

You are solely responsible for every financial decision you make, including decisions influenced by information shown in the Service. Verify all information independently and consult a qualified professional before acting. The Company bears no responsibility or liability for the outcomes of your financial decisions, including any loss of money, missed opportunity, penalty, fee, or tax consequence.

6. AI features disclaimer

AI Advisor outputs are generated automatically by probabilistic models and may be inaccurate, incomplete, outdated, or misleading, including in ways that are not obvious.
AI outputs are informational only, are not advice (see Section 5), and must be independently verified before you rely on them. You assume all risk of acting on AI outputs.
AI features are optional. On-device mode runs models locally on your hardware; its performance and security depend on your device, which is your responsibility.
We make no warranty of any kind regarding AI outputs, and to the maximum extent permitted by law we disclaim all liability arising from them.

7. Your responsibilities and acceptable use

You are responsible for your use of the Service and agree that you will NOT:

use the Service unlawfully, fraudulently, or to harm others;
access or attempt to access data, accounts, or systems you are not authorized to access;
connect accounts you do not own or lack authority to connect;
interfere with, disrupt, overload, or impair the Service or its security features;
copy, scrape, reverse-engineer, decompile, or create derivative works of the Service except where the law grants that right notwithstanding this limitation;
resell, sublicense, or provide the Service to third parties, or use it to build a competing product;
upload malicious code or misuse AI features to generate unlawful content.

You are responsible for the devices, networks, and software you use to access the Service, for keeping backups of any information you need, and for all data, instructions, and configurations you submit.

8. Assumption of risk

You understand and agree that using a financial-data aggregation service involves inherent risks, including data inaccuracies, synchronization delays, service interruptions, unauthorized access resulting from compromise of your own credentials or devices, and reliance on third-party institutions. You knowingly and voluntarily assume all such risks. You will exercise your own judgment before relying on any information in the Service.

9. Fees and trial

Early access is currently free for a limited time, for a limited number of users. After the promotional period, use of the Service may require a paid plan; pricing will be published before it applies to you. Except where required by law, fees are non-refundable. Taxes are your responsibility.

10. Intellectual property; feedback

The Service, including its software, design, branding, content, and models, is owned by Nesh AI or its licensors and is protected by law. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service for personal, non-commercial household use, subject to these Terms. If you send us feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them without restriction or compensation.

11. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. We expressly disclaim all warranties, express, implied, or statutory, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free; that data (including third-party and AI-generated data) will be accurate, complete, or current; or that defects will be corrected.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Nesh AI and its directors, officers, employees, agents, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, savings, data, goodwill, or opportunity, however caused and under any theory of liability, even if advised of the possibility of such damages.
We are not liable for losses arising from: your financial decisions; inaccurate, delayed, or incomplete data (including from third-party providers or AI outputs); unauthorized access resulting from compromise of your credentials, devices, or family members' conduct; events beyond our reasonable control; or your breach of these Terms.
Our total aggregate liability for all claims arising out of or relating to the Service or these Terms is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) INR 5,000.
Some jurisdictions do not allow certain exclusions or limitations; in those jurisdictions our liability is limited to the maximum extent permitted by law. The allocations of risk in these Terms are a basis of the bargain between you and us.

13. Indemnification

You agree to defend, indemnify, and hold harmless Nesh AI Technologies Private Limited and its directors, officers, employees, and agents from and against any claims, disputes, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or connected with: (a) your use or misuse of the Service; (b) your violation of these Terms or applicable law; (c) your financial decisions; (d) data, accounts, or family members you add to the Service, including any absence of authority or consent; (e) disputes between you and any family member, financial institution, or third party; or (f) your violation of any third party's rights.

14. Release

To the maximum extent permitted by law, you release the Company from all claims, demands, and damages arising out of disputes between you and any other user (including family members), any financial institution, or any third-party provider.

15. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access at any time, with or without cause or notice, including for breach of these Terms, suspected fraud or abuse, legal requirements, or discontinuation of the Service. Upon termination your licence ends; Sections 5–8 and 10–19 survive termination.

16. Changes to the Service and Terms

We may modify, suspend, or discontinue any part of the Service at any time without liability. We may update these Terms from time to time; the updated version will be posted here with a revised "Last updated" date. Your continued use after changes take effect constitutes acceptance. If you do not agree to updated Terms, stop using the Service.

17. Force majeure

We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, epidemics, war, terrorism, civil unrest, labour disputes, government action, power or internet failures, or failures of third-party services.

18. Governing law and dispute resolution

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved amicably within 30 days shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by the Company, with the seat and venue at the registered office of Nesh AI Technologies Private Limited, conducted in English. Subject to the foregoing, the courts having jurisdiction over the Company's registered office shall have exclusive jurisdiction. Nothing in this Section limits either party's right to seek injunctive relief for misuse of intellectual property or data.

19. General

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede all prior agreements.
Severability. If any provision is held unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions remain in full force.
No waiver. Our failure to enforce any provision is not a waiver of it.
Assignment. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
Electronic communications. You consent to receive communications from us electronically, and agree that electronic communications satisfy any legal requirement of written communication.
App stores. Your use of iOS and Android apps is also subject to the applicable app store's terms. App store providers are not parties to these Terms and have no obligations to you under them.
